Setting up as self-employed, or as a director working in your own company, needs an initial work authorisation — and in Catalonia that authorisation comes from the Generalitat under Real Decreto 1463/2009, not from the state. Founders regularly form the company first, then discover the right to work in it is a separate application to a different administration.
The incorporation itself follows the national route: name reservation, a notarised deed, filing with the Registro Mercantil de Barcelona, and the tax registrations. Can I form a company in Barcelona before I have a work authorisation?
Forming and owning a company is not the same as working in it. Ownership is generally open to non-residents; performing work or acting as a paid director is what needs authorisation, and in Catalonia that comes from the Generalitat. Order the two steps deliberately — doing them in the wrong sequence is the classic Barcelona founder mistake.
Does the company need to be registered in Catalan?
No. Incorporation documents are valid in Spanish and the Registro Mercantil accepts them. Catalan appears in regional correspondence and in some grant and licensing processes, which is a translation question rather than an incorporation one.
